  • Respond to qualified leads or booked appointments in a professional manner.
  • Grant necessary access to ad accounts, social media pages, or CRM systems required for service delivery.
  • Ensure that their business operations comply with all local, state, and federal laws.

5. Payment and Fees

  • Billing: Services are billed on a month-to-month basis unless otherwise specified in a separate service agreement.
  • Ad Spend: The Client is responsible for paying all advertising costs (ad spend) directly to the advertising platforms (e.g., Google, Meta). Bluepeak Growth's management fees do not include ad spend.
  • Refunds: Due to the nature of digital marketing and labor costs, management fees are generally non-refundable once the month of service has commenced.

6. Intellectual Property Rights

Our IP: All content on this website (including text, design, graphics, logos, and software), as well as our marketing systems, ad copy templates, and AI automation scripts, are the exclusive property of Bluepeak Growth and are protected by United States and international copyright and trademark laws. You may not reproduce, distribute, or create derivative works from our content without express written permission.

Client IP: The Client retains ownership of their pre-existing brand assets, logos, and customer data.

7. Limitation of Liability & Errors and Omissions

Errors and Omissions: While we strive to provide accurate and up-to-date information, Bluepeak Growth does not warrant that the content on this website or in our marketing materials is 100% free from error, complete, or current. We are not liable for any inaccuracies or omissions in our content (e.g., blog posts, guides, or ad copy).

No Liability for Damages: In no event shall Bluepeak Growth, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

10. Termination

Either party may terminate the service agreement with a 30-day written notice, unless a specific contract term (e.g., 3-month commitment) is active. Upon termination, the Client will retain access to their own ad accounts and data, but access to Bluepeak Growth's proprietary AI systems and software licenses may be revoked.

11. Governing Law & Venue

These Terms shall be governed and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Regardless of where the Client is located or where services are performed, any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the State of New York, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

12. Changes to This Policy

We may update our Terms of Service from time to time. We will notify you of any changes by posting the new Terms of Service on this page.

We will let you know via email and/or a prominent notice on our Service, prior to the change becoming effective and update the "effective date" at the top of this Terms of Service.
